Club Rules to all Members

RULES

Approved on 16 June 2014

 

The Rules are supplemental to the Articles of Association of the Company.

 

1. PREMISES

The Club premises are 49 Queen’s Road, Craig-y-Don, Llandudno LL30 1TH

 

2. OBJECTS

The objects of the Club are to provide social and recreational facilities for its Members.

 

3. MEMBERSHIP

Each candidate for election shall have attained 18 years of age and shall be proposed by one and seconded by another Member of the Club. The proposer and seconder must know the candidate personally. Application for membership is to be made in writing, which must be signed by the proposer and the seconder, and shall also state the full name of the candidate, his profession, business or occupation.

Each completed application for membership shall be posted on the Club Notice Board for a period of not less than 7 clear days. After the expiration of such period each application shall be submitted to the meeting of the Committee next following. If there are no vacancies for membership, or if for any other reason the Committee defer consideration of an application, a further exhibition of such application on the Club Notice Board shall be required for a period of not less than 7 clear days, unless the Committee is satisfied there is good cause for the delay.

The Secretary shall notify each candidate elected to membership in writing and at the same time furnish him with a copy of the Rules. The initial subscription and any entrance fee (where applicable) must be paid before the newly elected Member becomes entitled to exercise any privileges of membership. If the newly elected Member does not pay the amount(s) due within 14 days of notification of election to membership his membership shall be void.

A candidate whose application for membership has been rejected or whose membership becomes void may make one further application only after a period of not less than 6 months following the date on which his application was rejected or his membership became void.

Election of Members shall be vested solely in the Committee and may be considered at any meeting of the Committee at which 5 or more Members of the Committee are present. No reason need be given in the event of an application for membership being rejected.

 

4. ENTRANCE FEE

The amount of an entrance fee (when applicable) shall be approved at the Annual General Meeting.

5. SUBSCRIPTION

The annual subscription for Ordinary Members shall be such sum as determined by the Committee and approved at an AGM which includes a 100% donation towards accessing the general facilities, operation and value of the assets of the Club. The Committee may vary the first subscription but not any entrance fee (where applicable) for newly elected Members dependant on the date of election within the Club’s financial year.

 

Those Members who have attained the age of 65 years and who have been continuously in membership for 20 years shall have their annual subscription reduced by 50% of the full subscription due at the commencement of the next and subsequent financial years. After 31 October 2010 no further Members shall be eligible for a reduction in their subscription under this Rule.

All annual subscriptions (except the first subscription and any entrance fee where applicable of a new Member) become due and payable on 1 November in each year. If any Member fails to pay his annual subscription on or before 1 December next following, the Secretary shall send written notice to him accordingly. If such subscription is not paid before 1 January next following, he shall cease to be a Member of the Club and the Secretary shall remove his details from the Club’s records. If any such Member so affected subsequently gives the Committee a satisfactory explanation as to why his subscription had not been paid, he may, at the sole discretion of the Committee and upon payment of any arrears, be re-admitted to membership.

No one who has ceased to be a Member under the provisions of Rule 5 shall be admitted as a guest within 12 months of the date that their membership ceased unless they are a son, father, grandson or grandfather of a current Ordinary or Country Member of the Club.

No Member shall be eligible for entry into the Annual Christmas Draw unless he has paid the amount required at the same time as the annual subscription.

6. COUNTRY MEMBERS

The Committee shall have the power to elect gentlemen residing beyond a radius of 20 miles from the Club premises as Country Members in a like manner as is provided for Ordinary Members. The annual subscription for Country Members shall be 50% of the annual subscription for Ordinary Members. Upon payment of the amount(s) due following election a Country Member shall be entitled to all privileges of an Ordinary Member except the right to attend or vote at a General Meeting, to serve as a Member of the Committee or to propose or second prospective members.

Admission of Country Members may be suspended whenever and for such period as the Committee may decide.

 

 

 

7. TEMPORARY MEMBERS

The Committee shall have the power to elect gentlemen as Temporary Members provided that the person concerned is at least 18 years of age. The subscription rate shall be determined by the Committee and shall be payable in advance. In the absence of a Committee meeting, the assent of any2 Members of the Committee shall be sufficient authority for the admission of a Temporary Member. No Temporary Member shall be entitled to the privileges of the Club until after the expiration of 24 hours from the time of his proposal and acceptance as a Temporary Member.

No person shall be permitted to become a Temporary Member of the Club for more than one period of one month in any financial year unless the Committee agrees that a special circumstance shall permit a further period or periods.

No Temporary Member shall be allowed to introduce a visitor to the Club, be entitled to propose or second prospective members, to serve as a Member of the Committee, to attend or vote at a General Meeting or to claim any share of the property or assets of the Club.

 

8. MISCONDUCT

The Committee, at a meeting at which at least two-thirds of their Members are present, shall have the power to expel any Member whose conduct has, in their opinion, been objectionable or against the best interests of the Club or who persistently contravenes the Rules of the Club. In accordance with Article 13 the Member concerned shall be given an opportunity to attend the meeting of the Committee so convened to show cause as to why he should not be so dealt with. The Member concerned shall be given written details of the complaint before the meeting is held.

Any Member who is expelled from membership of the Club shall not subsequently be entitled in any circumstances to be admitted to the Club under Rules 6, 7 or 11.

 

9. RESIGNATIONS

A Member who wishes to resign from the Club shall give the Secretary at least 1 calendar months’ notice in writing.

 

10. REGISTER OR MEMBERS

A Register of Members’ names and addresses is held on the Club premises. The Register is held solely for the benefit of the Club and Members and its contents shall not be disclosed to any person or 3rd party outside of the Club unless legally required to do so.

11. VISITORS

Any Member, other than a Temporary Member, may introduce visitors as guests into the Club premises but no Member may introduce more than 4 visitors on the same occasion. Visitors must be at least 18 years of age. No gentleman, other than the father, son, grandfather or grandson of a Member, may be introduced into the Club more than 6 times in any financial year.

No visitor shall be introduced into the Club after 10.30pm.

The name and full address of every visitor must be entered in the Visitors’ Book at the time of arrival in the Club. The introducing Member must sign the Visitors’ Book and shall be responsible for his guest(s) and remain with them while they are on the Club premises.

Visits by other Clubs or organised bodies or any persons attending for special events or occasions shall be by the authorisation of the Committee only.

12. MANAGEMENT

The Management of the Club shall be vested in a Committee of not less than nine and not more than twelve Members, one-third of who shall retire annually and shall be eligible for re-election. The Committee shall have the power to appoint a Member to fill any casual vacancy on the Committee. A Member so appointed shall retire at the next following AGM and shall be eligible for re-election.

Except as provided for in Rules 3 and 8, 4 Members of the Committee shall form a quorum.

Nominations for election to membership of the Committee must be made in writing and signed by two Members of the Club. The nomination form must be in the possession of the Secretary at least 7 clear days before the General Meeting at which such nominations are to be considered. Each nomination form must be posted on the Club Notice Board for at least 7 clear days before an AGM. No Member, subject to the exclusions in Rules 6 and 7, shall be eligible for election to membership of the Committee until he has been a Member of the Club for a continuous period of 3 years.

The Committee shall appoint a Chairman and Vice Chairman at its first meeting after the AGM.

In the event of an equality of votes, the Chairman shall have a second or casting vote.

 

13. SECRETARY

The Club shall employ a person on a part time basis as Secretary who will be responsible for maintaining all records, payment of accounts, processing correspondence and generally assist the Committee to manage the Club especially in respect of adherence to the Rules and Articles of Association.

 

14. ANNUAL GENERAL MEETING

Members shall have 21 clear days’ notice of the date of the AGM. A copy of the Annual Statement of Accounts to be submitted to the AGM shall be posted on the Notice Board at least 21 clear days before the AGM and copies will be available in the Club for Members.

 

15. EXTRA-ORDINARY GENERAL MEETING

The Committee may whenever they consider it necessary convene an Extra-Ordinary General Meeting for any purpose. The Committee shall also convene an EGM on receipt of a requisition signed by not less than one-tenth of the current membership at the time of the requisition.. The requisition must state the nature of the business for the EGM and no other matter may be considered at the meeting so convened.

 

16. COMMITTEE MEETINGS

The Committee shall meet at least once in every month on such a day as they, by a majority, agree. The Secretary shall send 7 days written notice to each Member of the Committee advising of the venue, time and date of such a meeting.

The Chairman may summon a meeting of the Committee at any time by instructing the Secretary to give the Members of the Committee at least 24 hours notice.

 

17. AUTHORITY OF THE COMMITTEE

The Committee shall be vested with the power to do all that is necessary for the orderly performance of the affairs and business of the Club, including the maintenance of the premises, control of staff and the regulation of games and literature permitted within the Club.

18. FINANCIAL YEAR

The financial year of the Club shall commence on 1 November in each year and end on 31 October in the following year.

19. CLUB HOURS

The Club’s normal Operating Hours shall be 10.00hrs to 01.00hrs and the Committee shall have the power to vary the opening hours of the Club between those times.

The Club will be closed on Christmas Day and may also close on Boxing Day each year. The Committee shall have the power to determine that the Club shall open on Boxing Day and for what duration. The Committee will give at least 14 days’ notice if the Club is to open on Boxing Day.

The Committee may agree that the Club premises can be used at different times subject to the provisions of relevant legislation.

20. LICENSING HOURS

The hours during which the supply of alcohol to Members, guests or other authorised visitors shall be determined by the Committee taking account of the Operating Hours and shall provide for a drinking up period of 30 minutes.

The Licensing Hours determined by the Committee shall be displayed within the Club.

21. CHANGE OF ADDRESS

A Member changing his address should notify the Secretary immediately and, in any event, within 14 days of such change having occurred.

22. CAR PARK

Cars must be parked in a tidy manner in the spaces marked so as not to interfere with the free passage or parking of other vehicles. Bicycle racks are also provided for parking bicycles.

 

The Club accepts no responsibility for loss or damage to any vehicle or bicycle left in the car park.

 

23. CLUB NOTICE BOARD

Official notices may be placed on the Club Notice Board only as directed by the Committee. No unauthorised person may deface, alter or remove any such notices. Members may request that appropriate notices of a temporary nature relating to local charitable or social events be placed on the Notice Board and permission may be granted by 2 Directors who shall sign any such notices approved.

24. ANIMALS

No Member shall bring into the Club premises a dog or other animal unless he has the written permission of the Committee. This Rule does not apply in respect of a Guide Dog accompanying a Member or visitor whose vision is impaired. Dogs may be tethered outside and a receptacle will be provided for watering.

25. CONDUCT OF MEMBERS

Responsibility is placed on all Members, guests or other authorised visitors to order their conduct while on the Club premises in a manner compatible with the highest standards of a gentleman’s club. Any Director or employee of the Club may request any person to leave the Club premises forthwith after stating the reason for the request.

Members, guests and other authorised visitors must be properly dressed when entering the Club premises. Casual wear, including smart denims and zipped jackets, may be worn up to 8.00pm. After 8.00pm a collar, tie and suitable jacket are to be worn. This part of Rule 25 may be relaxed at the Committee’s discretion.

26. CHEQUES

Members may cash cheque in multiples of £10 and no more than one cheque a day up to the value of £100.

27. GAMING MACHINES

The machines are automatically turned ON in the mornings and OFF at night approximately 10 minutes before the end of the Licensing Hours for each day. Members are advised to familiarise themselves with the Licensing Hours so they can ensure they stop playing in time.
